These Terms of Service (“Terms”) govern your access to and use of the Arctic TechnoLabs website and the software development and IT services we provide. Please read them carefully.

1. Acceptance of Terms
By accessing our website or engaging Arctic TechnoLabs (“we”, “us”, “our”) for services, you (“you” or “the Client”) agree to be bound by these Terms. If you do not agree, please do not use our website or services.
2. Our Services
We provide custom software development, web and mobile app development, cloud & DevOps, UI/UX design, AI/ML, and related consulting. The specific scope, deliverables, timeline, and fees for any project are defined in a separate written proposal or statement of work (“SOW”), which — together with these Terms — governs that engagement. If a signed agreement conflicts with these Terms, the signed agreement prevails.
3. Proposals, Quotes & Engagement
Quotes and proposals are valid for 30 days unless stated otherwise. An engagement begins once you accept a proposal/SOW and any required deposit is received. Requests to change agreed scope (“change requests”) may affect timelines and fees and will be confirmed in writing before work proceeds.
4. Client Responsibilities
- Provide timely access, content, feedback, and approvals so we can deliver on schedule.
- Designate a point of contact authorized to make decisions for your project.
- Ensure you have the rights to any materials, data, or credentials you provide to us.
- Comply with applicable laws in your use of the deliverables.
5. Fees & Payment
- Fees are set out in the applicable proposal/SOW. A common structure is 50% upfront and 50% on completion, or milestone-based payments for larger projects.
- Invoices are payable within 14 days unless otherwise agreed. Late payments may incur interest and/or a pause in work.
- Fees are exclusive of applicable taxes, which are your responsibility.
6. Intellectual Property
Upon receipt of full payment, you own the custom deliverables we create specifically for you under an engagement. We retain ownership of our pre-existing tools, frameworks, libraries, and know-how, and grant you a non-exclusive license to use them as incorporated in the deliverables. Third-party and open-source components remain subject to their own licenses.
7. Confidentiality
Each party agrees to keep the other’s confidential information private and to use it only for the purposes of the engagement. We are happy to sign your non-disclosure agreement (NDA) before detailed discussions.
8. Warranties & Disclaimers
We perform our services with reasonable skill and care. Except as expressly stated in a signed agreement, our website and services are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied. We do not warrant that the website will be uninterrupted, secure, or error-free.
9. Limitation of Liability
To the maximum extent permitted by law, Arctic TechnoLabs shall not be liable for any indirect, incidental, special, or consequential damages, or for loss of profits, data, or business, arising from your use of our website or services. Our total aggregate liability for any engagement shall not exceed the fees actually paid to us for that engagement.
10. Term & Termination
Either party may terminate an engagement in accordance with the notice provisions in the applicable agreement. On termination, you remain responsible for fees for all work performed up to the termination date, and each party will return or destroy the other’s confidential information on request.
11. Third-Party Services
Our services may rely on third-party platforms, APIs, and hosting providers. We are not responsible for the availability, performance, or policies of third parties, though we will work in good faith to address any issues that affect your project.
12. Governing Law
These Terms are governed by the laws applicable at our principal place of business, and any disputes will be subject to the jurisdiction of its competent courts, unless otherwise agreed in writing.
13. Changes to These Terms
We may update these Terms from time to time. The latest version will always be posted on this page with a revised “Last updated” date. Continued use of our website or services after changes constitutes acceptance.
